Terms and conditions

The rules, in plain language.

What we do, what you pay, and what is covered. We keep it clear so there are no surprises for either of us.

Last updated: 26 October 2026

In short

  • You get a fixed quote in writing. Clicking Accept is your signature.
  • A 50% deposit starts the work. The balance is due within 48 hours of the go-live invoice.
  • If the balance is not paid, the finished work stays ours and can be taken offline until it is.
  • The R650 Care plan covers a set list each month. Anything else is extra, at R450 an hour or quoted.
  • You supply your own content. We are not lawyers, so you get your own legal pages checked.

01About these terms

These terms apply to every quote, proposal, invoice and service from Forge Vertical ("we", "us"), a sole proprietor business run by Jarrit Hosking from 1a Sheldon Road, Milnerton, Cape Town. "The client" or "you" means the person or business named on the quote.

If a quote says something different from these terms for a particular job, the quote wins for that job. Everything else in these terms still applies.

02Accepting a quote

By clicking "Accept" on a quote, you confirm that you have read and understood the quote and these terms, that you are authorised to act for the client named in it, and that you agree to be legally bound by them.

Clicking "Accept" is your electronic signature. In terms of the Electronic Communications and Transactions Act 25 of 2002, it has the same effect as a handwritten signature. Our quoting system records the date and time of acceptance, and the record forms part of the agreement.

03Quotes and scope

A quote is a fixed price for a written list of deliverables. The work is limited to what is listed. Anything not listed is outside the scope and is quoted separately before we start it.

A quote is valid for 14 days from the date of issue. Once you have accepted a quote, its price does not change for the work listed in it.

04What we need from you

You supply all the content, images, text, logos, access details, legal documents and approvals the project needs, from the start or at the milestones we agree.

Delays in supplying these items may move the delivery dates. They do not delay payment for work that has already been delivered. Where content is still outstanding, we may use placeholder content so that the project can go live, and you can send the real content afterwards.

05When a project is complete

A website project is complete when:

  • all the pages in the agreed scope are live on your domain;
  • forms work and deliver to the agreed address;
  • SSL, mobile layout, redirects, and domain and email records are set up; and
  • any legal pages included in the scope are published.

We confirm completion in writing. This is the "Handover Notice". For other kinds of project, such as a portal or other system, the quote says what completion means.

Content you supply after the Handover Notice, such as extra photos or text, is a content update and is not part of the build. Content updates never delay the final invoice.

06Deposit, payment and interest

A deposit of 50% of the quoted amount is payable when you accept the quote, before work begins. We do not start work until the deposit has been received.

The balance is invoiced with the Handover Notice and is payable within 48 hours of the invoice date. Payment is by EFT to the bank details on the invoice, with the invoice number as the reference. Please send proof of payment so we can match it quickly.

Amounts that are overdue bear interest at 2% per month from the due date until paid in full.

07If the balance is not paid

Until the balance has been paid in full, the finished work remains the property of Forge Vertical. You may use it only under a licence that lasts until the balance is due.

If the balance is not paid within 48 hours of the invoice date:

  • your licence to use the finished work ends automatically, without further notice;
  • we may take the finished work offline, remove it from hosting and accounts, withdraw access to it, and keep it as our property, including the right to reuse or resell it;
  • we keep the deposit and any other amounts already paid, which are not refundable, because they cover the work done and the cost of taking it back; and
  • once we have taken the finished work back, the balance is no longer payable, so you are not charged for work we have taken back.

Domain names, hosting and other accounts registered in your own name stay yours, and so does your own content, such as logos, photos and text. On request we will return or delete that content.

Until we have taken the work back, we may also suspend the live website or related services for as long as any amount is overdue. If you pay, we restore the website. Nothing in this section limits any other right we have in law.

08Ownership

Once you have paid in full, you own the finished website and the content on it. The code, content, domain and hosting accounts are handed over to you, with no lock-in and no licence fee to keep your site online.

The exceptions are our own reusable tools and systems (including the client portal), and third-party or open-source components, which stay under their own licences. We may show the finished website in our portfolio, without private information, unless you tell us in writing that you would prefer us not to.

09Changes, extra work and support

The price in your quote covers the listed deliverables only. Anything else is extra work and is charged at R450 per hour, or quoted separately, unless you have a Care plan that covers it (see the next section).

Extra work includes, for example:

  • changes to the agreed scope, and content updates after the Handover Notice;
  • new pages, new features, redesigns and bigger changes;
  • more images, video or text than a Care plan allows;
  • setting up or training your staff, phones, email accounts or other people in your organisation;
  • changes to Google Business Profiles, social accounts and other listings; and
  • help and support after the Handover Notice.

It does not matter whether you ask through the client portal, by email, WhatsApp or in person. A request that is not covered by your quote or Care plan is extra work, and we tell you the price before we start it.

10The Care plan (R650 per month)

The Care plan is an optional monthly plan for an existing website. It covers the following, each month, and nothing else:

  • up to 5 images added to your website;
  • 1 video added to your website;
  • up to half a page of text (about 250 words) added or updated; and
  • uptime monitoring of your website, with live results in your portal.

How it works:

  • All content must be your own. You send us the images, video and text, and we add them to the website. We do not write, source or create the content under the Care plan.
  • We rename your images and video so that they suit search engines (SEO).
  • We add any new written text to the llms.txt file for your website and ask Google to re-index the updated page.
  • The monthly allowance is for that month. Anything not used does not carry over to the next month.
  • You can cancel with 30 days' written notice.
Anything more is extra

Requests that go beyond the Care plan are extra work. For example, if you want to add 10 images at once, or a new page, that is above and beyond the R650. This applies to requests sent through the portal and by email alike. We quote it first or charge R450 per hour.

11Hosting, domains and other services

Hosting, domains, email and other third-party services are provided by their own companies under their own terms. We set them up as agreed, but we are not responsible for outages, price changes or security incidents within those providers' systems.

Where we pay a provider on your behalf, such as for a domain or hosting plan, we pass the provider's price on to you without a mark-up, unless your quote says otherwise. Providers can change their prices and renewal dates.

12Legal pages and compliance

You are responsible for supplying your own legal terms, including terms and conditions, a privacy policy and disclaimers, and for making sure they follow the laws that apply to your business.

If you ask, we may use third-party services to generate draft disclaimers, privacy policies or terms and conditions. These drafts are a convenience only. They are not legal advice, and they do not replace advice from a qualified attorney. You should have all legal documents reviewed by your own attorney. Forge Vertical accepts no liability for their content or for your compliance with any law.

13Your content

You confirm that you have the right to use all the content, images, video and text you give us, and you are responsible for any claim relating to it. We may decline to publish content that is unlawful or that we reasonably believe infringes someone else's rights.

14Cancellation

If you cancel after accepting a quote, the deposit is not refundable. If the work has progressed beyond the value of the deposit, you also pay for the work done up to the date of cancellation. Cancelling a Care plan is covered in the Care plan section.

15Prices may change

The prices on our website, and in our packages, are a guide. They follow the market and may change, and a future job may cost more than a past one.

A quote that you have accepted stays at its quoted price. A Care plan price can change after we give you 30 days' written notice, and you may cancel before it takes effect. Prices charged by third-party providers, such as domain and hosting renewals, are set by them and can change at any time.

16Limits on our liability

We take care with every project. To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profit or lost business, and our total liability for any claim is limited to the amount you paid us for the service the claim relates to.

Nothing in these terms takes away rights you have under the law that cannot be excluded.

17Changes to these terms

We may update these terms from time to time. The date at the top of this page shows when they were last changed. A quote you have already accepted stays on the terms that applied when you accepted it.

18General

The quote and these terms are the whole agreement between us. Changes must be in writing, and email or WhatsApp messages count as writing. This agreement is governed by the laws of the Republic of South Africa.

Questions about these terms? Message Jarrit on WhatsApp or email [email protected] before you accept a quote, and we will explain anything in plain language.
